Aspire Terms and Conditions

ASPIRE DENTAL WELLNESS Program TERMS AND CONDITIONS

PLEASE READ THESE TERMS CAREFULLY. These Terms and Conditions (“Terms”) govern (i) your enrollment and participation in the dental wellness membership Program (the “Dental Wellness Program” or “Program”) offered by the independent dentist/dental practice or dental organization you select at enrollment (the “Dental Organization”), and (ii) your use of Aspire Dental Program, LLC (together with its affiliates, successors, and assigns, “Aspire”) and Aspire’s online platform (the “Platform”) to enroll in, administer, and pay for your Program membership (the “Platform Services”). These Terms form a binding agreement among you, Aspire, and the Dental Organization (collectively, “we,” “us,” or “our,” as applicable) (the “Agreement”). IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ENROLL IN THE Program OR USE THE PLATFORM.


IMPORTANT NOTICES – NOT INSURANCE; NO DENTAL COVERAGE 

THE PROGRAM IS NOT INSURANCE AND IS NOT INTENDED TO REPLACE DENTAL INSURANCE. THE PROGRAM IS NOT A QUALIFIED HEALTH PROGRAM UNDER THE AFFORDABLE CARE ACT AND IS NOT A MEDICARE PRESCRIPTION DRUG PROGRAM. MEMBERSHIP FEES ARE NOT INSURANCE PREMIUMS. NEITHER ASPIRE NOR THE DENTAL ORGANIZATION IS A LICENSED INSURER, HEALTH MAINTENANCE ORGANIZATION, OR UNDERWRITER OF HEALTH CARE SERVICES.


THE DENTAL ORGANIZATION (NOT ASPIRE) PROVIDES ALL CLINICAL DENTAL SERVICES.

ASPIRE DOES NOT PRACTICE DENTISTRY, DOES NOT MAKE CLINICAL DECISIONS, AND DOES NOT PROVIDE OR GUARANTEE DENTAL SERVICES. ASPIRE PROVIDES THE PLATFORM AND ADMINISTRATIVE/BILLING SERVICES AND MAY COLLECT MEMBERSHIP FEES AS A PAYMENT AGENT ON BEHALF OF THE DENTAL ORGANIZATION.

  1. DEFINITIONS “Included Services” means the specific dental services included in your selected Program at no additional out-of-pocket charge beyond the Membership Fee, as described on the Program details page or written Program description provided at enrollment (the “Program Details”). “Non‑Included Services” means any services not listed as Included Services, which may be eligible for a Program discount as stated in the Program Details. “Member” means the individual patient enrolled in the Program. “Membership Fee(s)” means the fee(s) you agree to pay for Program membership, either monthly or annually as selected at enrollment. “Monthly Program” means a Program option billed monthly with an initial 12-month commitment as described in Section 4 and Section 5. “Annual Program” means a Program option paid in full upfront for a 12-month term as described in Section 4 and Section 5. “Standard Fees” (also called “Usual Fees”) means the Dental Organization’s then‑current, non-discounted fees/customary charges for services at the time the services are rendered (before Program discounts/adjustments). “Reconciliation Charge” means the amount calculated under Section 5.4 (Monthly Program early cancellation/nonpayment true‑up).


2. THE DENTAL WELLNESS PROGRAM 

2.1 Program overview. The Program is a membership program offered by the Dental Organization. While enrolled and current on required payments, you are eligible to receive Included Services from the Dental Organization and, if applicable, discounts on certain Non‑Included Services, as set forth in the Program Details.

2.2 Program not insurance. The Program is a loyalty/membership arrangement between you and the Dental Organization. No claims are filed with insurers. The Program does not provide reimbursement, coverage, or payment for services.

2.3 Included Services and discounts are limited to the Dental Organization. Program benefits and any discounts apply only to services provided by the Dental Organization (and only at locations and by providers specified by the Dental Organization). Services provided by specialists, third-party providers, labs, or other dental offices are not Included Services unless expressly stated in the Program Details.

2.4 No cash value; no rollover unless stated. Program benefits have no cash value and are not redeemable for cash. Unless expressly stated in the Program Details, unused Included Services do not roll over to future membership terms.

2.5 Scheduling and clinical judgment. All services are subject to provider availability, scheduling, and the Dental Organization’s clinical judgment. The Dental Organization may recommend additional diagnosis or treatment (including periodontal therapy, restorative work, etc.) that is not Included Services; you are responsible for all such costs.

2.6 No stacking/combining. The Program may not be combined with any other discounts, discount Programs, in-office promotions, or patient financing discounts, and may not be used in conjunction with dental insurance benefits (including Medicare, Medicaid, other government programs, or private insurance), unless the Dental Organization expressly agrees in writing in advance.

2.7 Missed appointments and office fees. Any missed appointment fees, late fees, or other office policy fees charged by the Dental Organization may still apply and are your responsibility.


3. PLATFORM SERVICES; ACCOUNT; ELECTRONIC COMMUNICATIONS

3.1 Account information. You agree to provide accurate information and to promptly update your contact and payment information.

3.2 Electronic communications; notices. You consent to receive notices and communications electronically (including by email and/or through the Platform), including notices about billing, renewals, and changes to these Terms. Notices sent to the email address on file will be deemed delivered when sent.

3.3 Payment processing. Payments may be processed by Aspire and/or third-party payment processors. You authorize Aspire (as payment agent for the Dental Organization) to charge your selected payment method for Membership Fees and any other amounts you owe under this Agreement (including Reconciliation Charges and unpaid balances), subject to applicable law.


4. MEMBERSHIP TERM, RENEWAL, AND MEMBERSHIP FEES 

4.1 Membership term. Your membership begins on the date of enrollment (or such other date stated in the Program Details) and continues for the “Membership Term.”

(a) Annual Program Term: 12 months from your enrollment/renewal date. (b) Monthly Program Term: An initial 12-month commitment billed in monthly installments. After the initial 12-month commitment, the Monthly Program continues month-to-month unless canceled as provided in Section 5.

4.2 Automatic renewal. Unless you cancel in accordance with Section 5, your membership may renew automatically (monthly for Monthly Programs; annually for Annual Programs) at the then-current Membership Fee and Program Details.

4.3 Membership Fees are fully earned; no refunds. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL MEMBERSHIP FEES ARE FULLY EARNED AT THE TIME OF PAYMENT AND ARE NON-REFUNDABLE. This means that once a Membership Fee is paid, you have no right to a refund, credit, or proration of that Membership Fee, except where required by applicable law or where the Dental Organization, in its sole discretion, chooses to provide a refund or credit.

4.4 Taxes. You are responsible for any applicable taxes imposed on Membership Fees or services, if any.

4.5 Failed payments; delinquency. If any payment is declined, reversed, charged back, or otherwise fails, your membership may be suspended or terminated. You remain responsible for all amounts owed, including any Reconciliation Charge if applicable under Section 5.4.


5. CANCELLATION, TERMINATION, AND EFFECT OF CANCELLATION 

5.1 How to cancel. You may request cancellation by any method the Dental Organization makes available, which may include (i) canceling through the Platform, (ii) contacting the Dental Organization directly by phone/email, or (iii) any other method stated in the Program Details. Cancellation is not effective until confirmed in the Platform or by the Dental Organization.

5.2 Annual Program cancellation (no refund; cancel stops renewal only). If you are enrolled in an Annual Program, you may cancel at any time; however: (a) Your cancellation stops the next annual renewal only. (b) Your Annual Program remains active until the end of the then-current 12-month Annual Program term (the “Annual Term End Date”). (c) No refunds or proration will be provided for any reason (except as required by applicable law).

Example: If you enroll and pay for an Annual Program on January 1 and submit a cancellation request on January 2, your membership remains active through the following January 1, and you will not receive a refund.

5.3 Monthly Program cancellation after the initial 12-month commitment. If you are enrolled in a Monthly Program and you cancel after completing your initial 12-month commitment, cancellation will be effective at the end of your then-current paid billing period. No refunds or proration will be provided (except as required by applicable law). No Reconciliation Charge applies after the initial 12-month commitment.

5.4 Monthly Program cancellation or nonpayment within the initial 12-month commitment; Reconciliation Charge. IF YOU ARE ENROLLED IN A MONTHLY Program AND (i) YOU CANCEL, OR (ii) YOU BECOME DELINQUENT OR STOP PAYING, AT ANY TIME BEFORE COMPLETING THE INITIAL 12-MONTH COMMITMENT, YOU AGREE THAT THE DENTAL ORGANIZATION MAY ASSESS AND COLLECT A RECONCILIATION CHARGE.

(a) Purpose. The Reconciliation Charge is intended to reconcile (“true-up”) the value of Included Services and/or discounted Non‑Included Services you received during the initial 12-month commitment period against the Membership Fees you paid, because the Monthly Program pricing assumes you will remain a paying Member for the full initial 12-month commitment.

(b) Calculation. The Reconciliation Charge will equal: (1) the total Standard Fees for all Included Services provided and all discounts actually applied to Non‑Included Services during your membership (within the initial 12-month commitment), MINUS (2) the total Membership Fees actually paid by you for that Monthly Program membership during the same period, MINUS (3) any amounts you already paid out-of-pocket to the Dental Organization for those same services.

(c) No double-charging. You will not be charged more than the Standard Fees for the services you actually received (less amounts you already paid), and you will not be charged twice for the same service.

(d) When due; authorization to charge. The Reconciliation Charge is due immediately upon cancellation/termination and may be charged to your payment method on file or billed directly to you. If your payment method cannot be charged, you remain responsible for payment and the Dental Organization may pursue collection consistent with its financial policies and applicable law.

5.5 Effect of cancellation. When your membership ends: (a) you are no longer eligible for Included Services or Program discounts (except that Annual Programs remain active through the Annual Term End Date as stated in Section 5.2); (b) all Non‑Included Services are due at the Dental Organization’s Standard Fees (or other fees stated by the Dental Organization); (c) you remain responsible for any outstanding balances, including Reconciliation Charges, missed appointment fees, and any other amounts owed.

5.6 Termination by Dental Organization or Aspire. We may suspend or terminate your membership and/or Platform access for cause, including fraud, abuse, misconduct, nonpayment, chargebacks, or misuse of the Platform. If the Dental Organization ceases offering the Program or is unable to provide services, your remedies (if any) are limited to those required by applicable law or expressly offered by the Dental Organization, and Aspire is not responsible for clinical service availability.


6. CHANGES TO THESE TERMS AND/OR THE PROGRAM 

6.1 Changes by Aspire. Aspire may modify these Terms by providing notice to the email address on file. Your continued use of the Platform or continued membership after the effective date of changes constitutes acceptance of the updated Terms.

6.2 Changes by Dental Organization. The Dental Organization may change Program Details (including Included Services, discounts, Membership Fees, office policies, or eligibility rules), typically effective at renewal. If you do not agree to changes effective at renewal, you must cancel before renewal.


7. LINKS TO OTHER WEBSITES, SOFTWARE, AND SERVICES The Platform may contain links to third-party websites, software, or services. Aspire is not responsible for third-party content, accuracy, or practices. Your interactions with third parties are solely between you and those third parties.


8. DISCLAIMER OF WARRANTIES THE PLATFORM AND PLATFORM SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASPIRE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. THE DENTAL ORGANIZATION MAKES NO WARRANTY REGARDING OUTCOMES OF DENTAL TREATMENT.


9. LIMITATION OF LIABILITY IN NO EVENT SHALL ASPIRE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM OR PLATFORM SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (iii) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL ASPIRE’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM, THE PLATFORM SERVICES, OR THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (U.S. $100.00).


10. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Aspire and the Dental Organization (and their respective affiliates, officers, directors, employees, agents, and contractors) from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, misuse of the Platform, or violation of applicable law, except to the extent caused by our gross negligence or willful misconduct.


11. GOVERNING LAW AND VENUE These Terms and the relationship between you, Aspire, and the Dental Organization shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law rules, except where superseded by applicable federal law. Subject to Section 12 (Arbitration), you agree that any court proceedings shall be brought in Dallas County, Texas.


12. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER Except for disputes relating to intellectual property rights or claims for injunctive/equitable relief, any dispute arising from or relating to these Terms, the Platform, Platform Services, or the Program shall be finally settled through binding arbitration in Dallas County, Texas, in English, in accordance with the then-current JAMS Arbitration Rules and Procedures (including streamlined rules where applicable), available at http://www.jamsadr.com/rules-streamlined-arbitration. YOU AND WE AGREE THAT DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.


13. MISCELLANEOUS 

13.1 Entire agreement; severability. These Terms are the entire agreement regarding the Platform and Program membership. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. 

13.2 No assignment. Membership is for your personal benefit and may not be assigned or transferred. 

13.3 Force majeure. We are not liable for failure to perform due to causes beyond our reasonable control. 13.4 Third-party beneficiaries. The Dental Organization is an intended third-party beneficiary of provisions relating to Membership Fees, cancellation, Reconciliation Charges, and limitations of liability, and may enforce those provisions.
